5 Cheap Chinese Companies That Could Go Private In 2012

Stocks of many U.S.-listed Chinese firms are trading at significant discounts to their counterparts in similar industries in Hong Kong or mainland China, as well as in the U.S. itself. The Halter USX China Index (^HXC) which tracks companies whose common stock is publicly traded in the U.S. and the majority of whose business is conducted in China, has been trailing other U.S. stock indices. U.S. investors can take advantage of this and buy the cheapest companies before they are bought out. Investors take note, however, that this is a high-risk, high reward proposition.

A disciplined approach is necessary. Not all Chinese companies are compelling buy-out targets. Investigations by U.S. regulators and allegations of fraud from short-sellers have depressed the values of the so-called China orphans. Communication problems, differences in accounting rules, a lack of transparency, and unusual corporate structures are some of the causes for disagreements over what these companies are actually worth. For the smaller of these firms, low P/E values can also be due to lack of research coverage, a high concentration of shares among their major shareholders, and limited trading volume.

For companies that need to raise capital and are thinking about selling stock, low trading multiples mean that they would not be able to raise as much money in the U.S. as they would elsewhere. The frustration is most acute for those firms that originally listed in the U.S. through a reverse merger ? a transaction whereby a shell company (a corporation with no business operations) that is already listed on an American exchange acquires the Chinese company that is seeking an U.S. listing.

Such a manoeuvre helps the Chinese company to become a publicly traded entity at a fraction of the cost and without the same rigorous disclosures as for a traditional IPO. Some of the firms that were listed using this process have been accused of accounting violations, if not downright fraud. A few have used auditors with questionable backgrounds, such as Kabani & Co., Frazer Frost, and MSPC.

The SEC has cautioned investors about buying shares in companies formed by reverse mergers, and the accounting practices of some Chinese companies that gained a U.S. listing this way have been subject to increased regulatory scrutiny.This has resulted in the U.S. exchanges freezing or delisting the shares of a number of China-based firms this year. Other firms have restated their financials after receiving non-compliance notices from the exchanges where they trade.

Although the cases of fraud and misrepresentation are relatively few, they have negatively affected the reputations and trading multiples of many China orphans. The current share prices of these companies undervalue them if compared to their book or net asset values. Many are therefore reevaluating the high listing costs and regulatory burdens associated with a U.S. listing.

Quite a few China orphans, often in traditional industrial businesses, have terminated their U.S. listing by going private, and more are expected to follow. Among the companies that have completed their privatization in 2011 are Chemspec International, China Fire & Security, Funtalk China Holdings, Harbin Electric, and Tongjitang Chinese Medicines. Some LBOs are still pending, including those of Andatee China Marine Fuel Services (AMCF), China Advanced Construction Materials Group (CADC), China GrenTech Corporation (GRRF), and Shanda Interactive Entertainment (SNDA).

If the Chinese companies that leave the U.S. relist, it is likely to be in Hong Kong, Asia's third-biggest stock market. Foreign companies are not yet allowed to list on China?s domestic exchanges. That category includes overseas-listed Chinese firms that restructured into offshore entities, even though their operations and assets are predominantly in mainland China. Listing in Shanghai or Shenzhen would require the China orphans to restructure into domestic Chinese firms. However, Beijing has signaled its intention to set up an international board in Shanghai, which may open the way for such firms to come to the mainland.

Other reputable China orphans that would be likely candidates for privatization would be those with high levels of insider ownership and single-digit price to earnings ratios. The following five companies qualify:

American Lorain (ALN): American Lorain is a processed snack, convenience and frozen foods producer. They are the largest manufacturer of processed chestnut products in China, and recently expanded their offering of frozen rice products. ALN?s founder Si Chen, who is also chairman, CEO and president, owns 46.6% of the company. ALN is currently priced at bankruptcy level with a trailing P/E ratio of 2.19, compared to a book value per share of 4.06. ALN?s market cap is $45.5 million.

China Marine Food (CMFO): China Marine Food produces and sells dried seafood snack foods, trades fresh marine catch and sells algae-based drinks. Demand for their Hi-Power beverage brand is expected to lead to strong organic sales growth. As of September 30, 2011, founder and Chief Executive Officer Pengfei Liu owned approximately 41.0% of CMFO stock. CMFO has a trailing P/E multiple of 2.76, well below its per-share book value of 4.31, and a market cap of $38.31 million.

China Shengda Packaging Group (CPGI): China Shengda Packaging Group is active in the design, manufacture, and sale of paper cartons and packaging solutions to consumer and industrial goods manufacturing companies in China. The company also manufactures and sells paper products. Members of the Fang family own about 54% of CPGI. Its equity value is $38.40 million and its ttm price to earnings ratio is 2.82, slightly above its book value of 2.49 per share.

Lihua International (LIWA): Lihua International makes copper replacement cable and wire products. As the cost of copper has increased, so has the cost of LIWA?s finished goods. LIWA?s CEO Jianhua Zhu owns about 46% of the company through Magnify Wealth Enterprise; its total equity value is $148.24 million. LIWA?s trailing P/E is 2.98, less than half of per-share book value of 6.93.

Winner Medical Group (WWIN) Winner Medical Group is a China-based firm engaging in the research, development, manufacture, and marketing of cotton-base medical dressings and medical disposables. The company also offers consumer sanitary and cosmetic products. WWIN has a high level of insider ownership: 55% is owned by founder and CEO Jian Quan Li, and all officers and directors as a group own close to 75% of the company. WWIN?s market cap is $63.85M. Its trailing P/E ratio is 5.57, close to its book value per share of 5.20.

Georgia Tech football: Yellow Jackets let late lead slip away in overtime loss to Utah Utes at Sun Bowl

EL PASO, Texas -- John White took his final hand-off of the day, followed his lead blocker and set of a celebration.

White plowed into the end zone from 8 yards out to give Utah a 30-27 overtime victory against Georgia Tech on Saturday in the Sun Bowl.

?They trusted me with the ball, so I saw Shawn Asiata blast somebody and I knew I was going to go in,? White said. ?As soon as the ball crossed the plain I looked up to the ref and saw his hands go up and knew it was a touchdown so I just wanted to go celebrate with my teammates.?

Justin Moore kicked a 34-yard field goal in Georgia Tech?s overtime possession to take a three-point lead, but White finished a 115-yard rushing day with the game-winning score on his 26th carry.

The Utes (8-5) tied it in regulation when Jon Hays hit DeVonte Christopher with a 28-yard touchdown pass on fourth-and-14 with 1:32 left in the fourth quarter.

?There?s no quit in these guys,? Utah coach Kyle Whittingham said. ?They kept believing, coaches kept believing, and we found a way to win in the end.?

Georgia Tech coach Paul Johnson was disappointed with his team?s play in the fourth quarter.

?We couldn?t block in the fourth quarter and the plays we needed to make just didn?t happen,? Johnson said. ?It feels like somebody kicked you in the gut. When you are competitive, it really hurts?

The Yellow Jackets (8-5) drove to the Utah 31 with 2 seconds left, but David Scully missed a 48-yard field-goal attempt as time expired to send the Sun Bowl to overtime for the first time in its 77-year history. Moore had earlier missed two 42-yard tries for Tech.

?I thought (Scully) hit the ball good and I actually thought it went in but I guess it was a few feet to the right,? Johnson said. ?We didn?t make enough plays and we missed three field goals.?

Georgia Tech lost its seventh straight bowl appearance and Utah improved to 7-1 in bowls under Whittingham.

Georgia Tech?s Preston Lyons, who came in with only 39 carries, rushed for a career-best 140 yards on 18 carries and Tevin Washington passed for 137 yards and ran for 97.

Utah grabbed a 7-0 lead on Asiata capped the game-opening drive with a 1-yard run.

With David Sims out of with an injury and Orwin Smith (Central-Phenix City) also ailing, Georgia Tech relied heavily on Lyons, who put the Yellow Jackets on the board with a 36-yard run up the middle tie the game at 7.

Lyons finished the first half with 129 yards on 12 carries.

?Defensively we were real soft against the running game in the first half,? Whittingham said. ?They had a nice scheme and showed us stuff we didn?t practice.

?It took us a while to adjust to that and we gave a bunch of rushing yards in the first half however only seven points, which is the bottom line.?

Coleman Peterson banked in a 25-yard field goal with 14 seconds left in the first half to give the Utes a 10-7 lead.

A 27-yard punt by Utah set up Moore?s 32-yard field goal to tie it in the third quarter.

The Yellow Jackets scored again on their next possession. Washington hit Embry Peeples with a 58-yard pass, then found Stephen Hill for a 31-yard touchdown to make it 17-10.

Moments later, Quayshawn Nealy picked off a pass by Hays and returned it down the sideline 74 yards for a touchdown with 4:14 left in the third quarter.

?We should have put the game away in the fourth quarter,? Johnson said. ?We didn?t let up. We ran most of the same plays in the fourth quarter that we ran in the rest of the game.?

Hays hit Kendrick Moeai with a 3-yard touchdown pass with 6:50 left in the fourth quarter to make it 24-17.

Hays went 15 for 31 for 193 yards.

Wilcox's 24 leads Washington past Oregon 76-60

SEATTLE (AP) ? Whether starting or coming off the bench, there's no doubting the shooting prowess of Washington's C.J. Wilcox.

Moved to a reserve role for the start of Pac-12 Conference play, Wilcox responded by matching his career-high with 24 points, and the Huskies improved to 2-0 to start the conference season with a 76-60 win over Oregon on Saturday night.

"I just know I have to come off and create a sort of spark for the team coming off the bench," Wilcox said. "I'm OK with it. It's good."

Wilcox was shuttled to the bench earlier this week as a way to get freshman Tony Wroten and 7-footer Aziz N'Diaye in the starting lineup together. Wilcox still came through with his highest point total since scoring 24 last season against UCLA, making 8 of 11 shots and 6 of 8 3-pointers ? matching his career-high in 3-pointers made.

Perhaps most important, Wilcox scored 13 during a key second-half run for Washington (8-5, 2-0 Pac-12) after the Ducks had trimmed a double-digit deficit down to four.

"If he starts, if he comes off the bench, if he plays with any combinations that we have, he's going to do the same thing," Washington coach Lorenzo Romar said of Wilcox.

In his first game coming off the bench this season on Thursday night, Wilcox played 30 minutes and finished with 15 points. He was even more dynamic on Saturday in 33 minutes, which is more than his average for the season.

Wroten added 17 points, five assists and four rebounds, while Abdul Gaddy added 12 points and Terrance Ross had 11, and Washington shot nearly 54 percent.

"It's like you pick your poison if everybody is shooting like that," Gaddy said. "But it's all about ball movement."

E.J. Singler led Oregon (10-4, 1-1) with 20 points, 13 coming in the first half. But the Ducks shot just 32 percent and leading scorer Devoe Joseph was 1 of 13 shooting and finished with just four points, 10 below his season average.

But the Ducks continued to hang around, closing within 48-44 in the second half before Wilcox nearly put together the Huskies' decisive run by himself.

Washington led 47-36 when a backcourt dustup between Wroten and Oregon's Olu Ashaolu resulted in double technicals for Ashaolu and Washington's Darnell Gant. The technical also proved to be the start of Oregon's final surge as the Ducks scored eight of the next nine points to pull within 48-44 after consecutive easy baskets for Singler.

Romar called timeout and after the teams exchanged turnovers, Wilcox connected on back-to-back 3-pointers to put the lead back to 54-46. Even after a timeout, the run continued with Wilcox scoring on a left-handed baseline drive and Ross hitting a crossover, step-back 3 to give the Huskies a 59-46 lead. Wilcox added another baseline basket and Gaddy capped the run with an open 3-pointer from the wing to give the Huskies their biggest lead to that point at 64-49 with 7:59 left.

Washington led by as many as 19 in the closing minutes.

Oregon was trying for a 2-0 conference start after knocking off Washington State on Thursday night. It didn't help that Joseph couldn't make anything. Joseph came in averaging 14.7 points for the Ducks, but his one basket came midway through the first half. It was a theme throughout the Oregon lineup as the Ducks got plenty of looks from the perimeter, but couldn't make Washington pay for slow defensive rotations. The Ducks were just 5 of 23 on 3-pointers after coming in as a 36 percent 3-point-shooting team. .

Ashaolu, who had 23 points and 10 rebounds against Washington State, was limited to six points and 12 rebounds. It got so bad for the Ducks that Carlos Emory couldn't convert a breakaway dunk attempt with 2 minutes left, losing his grip of the ball as he went up for the uncontested slam.

Oregon coach Dana Altman kept his players in the locker room for an extended period after the game.

"Disappointing performance. We've obviously got a lot of work to do," Altman said. "We couldn't guard their dribble drives, we gave up a lot of open 3s. There wasn't much defense there at all."

Oregon had its chances, especially in the first half when Washington's defensive rotations were sluggish and gave the Ducks looks at open perimeter shots. The Ducks were just 2 of 14 on 3-point attempts in the first half and finished 5 of 23. Singler made 4 of 9 shots in the first half, while the rest of the Ducks were a combined 7 for 25.

Garrett Sim added 13 points for Oregon but no one else showed up to help offensively.

"They took us out of a lot of our sets and we didn't move the ball as well as we did against Washington State and it showed in our shooting percentage," Singler said.

Nigeria ends fuel subsidies, angering unions (Reuters)

ABUJA (Reuters) ? Nigerian authorities scrapped fuel subsidies with immediate effect on Sunday, prompting unions to call for a repeat of the strikes and street protests that thwarted previous attempts to end the scheme.

Many Nigerians see cheap fuel as the only benefit they get from living in Africa's top crude oil exporter.

A statement by the Petroleum Products Pricing Regulatory Agency (PPPRA) announced the "formal removal of the subsidy on Premium Motor Spirit."

"Petroleum products marketers are to note that no one will be paid a subsidy on PMS discharges after 1st January 2012," said the statement signed by the agency's executive director, Reginald Stanley.

The Trades Union Congress and Nigerian Labour Congress called for mass action.

"We alert the populace to begin immediate mobilisation towards the D-Day for the commencement of the strikes, street demonstrations and mass protests across the country," they said in a joint statement.

"This promises to be a long drawn battle; we know its beginning, but we do not know its end or when it will end. But we are confident that the Nigerian people will triumph."

Going ahead with the plan will save the Treasury over 1 trillion naira ($6.13 billion) in 2012, according to the government - money that critics such as the International Monetary Fund (IMF) said mostly benefited fuel importers.

Nigeria produces over 2 million barrels per day of crude oil but a lack of investment in refineries and infrastructure means almost all of this is exported, while refined products such as petrol have to be imported at great cost.

PUMP PRICE TO DOUBLE

Finance Minister Ngozi Okonjo-Iweala has admitted that letting markets determine the pump price of petrol will push it up to 120 naira ($0.74) per litre, from 65.

Central Bank Governor Lamido Sanusi said Nigeria used $16 billion of its foreign reserves on imported fuel in the first 11 months of last year - half of it sold by the bank to petroleum importers, the other half spent by the Treasury on the subsidy.

Labour and transport unions, human rights groups, market traders, taxi drivers and lawyers' associations are all bitterly opposed to having the subsidy removed.

"The government has deceived us," said Peter Udor, an Abuja electrical engineer. "They told us that the subsidy will be removed after the budget approval by the national assembly in March or April ... This shows that the government is insensitive to the plight of (the) majority of Nigerians. It's unfair."

Rosemary Abiogu, a nurse, said: "Subsidy removal signals more hardship for (a) majority of Nigerians. Prices of fuel will not only go up but also those of other essential goods. They should have put the palliatives in place before removing the subsidy."

The government has said that any increase in the cost of goods will be offset in the medium term by economic reforms, such as more efficient customs clearance at ports, that should reduce the cost of imports. Analysts agree.

"There will be an impact on inflation - my forecast is that at most CPI goes up by a modest 2 percent - but the productivity gain is that the price of petrol will be efficient," said Bismarke Rewane, managing director for Lagos-based consultancy Financial Derivatives.

"It will attract more investments into the sector like building of refineries, pipelines, storage facilities etc. and all these will translate into efficiency gains for the economy." ($1 = 162.3000 naira)

The realities of a 53-man roster make it impossible for the Packers to rest all of their starters Sunday against Detroit.

But it sounds like they are going to sit as many key players as possible. Let?s break it down:

Too hurt to play

Wide receiver Greg Jennings (knee), running back James Starks (knee/ankle), return man Randall Cobb (groin), and tackle Bryan Bulaga (knee) won?t play. They would likely be shaky to play even if this was a playoff week.

On the borderline

The Packers list cornerback Charles Woodson (knee) and linebacker Clay Matthews (ankle) as questionable after being limited in practice all week. They would be playing if this was the playoffs, but it sounds like the defensive stars will be rested for most of Sunday?s game, if not all of it. ?They are getting some earned star treatment.

Rodgers uncertain

Packers coach Mike McCarthy wouldn?t even confirm whether Aaron Rodgers would start the game when asked.

?The most important thing with Aaron is he?s ready to play. Whether he starts, we?ll talk about that today,? McCarthy said.

Jason Wilde of ESPNMilwaukee.com believes Rodgers won?t even play a snap. Rodgers played coy.

?What did Mike say?? Rodgers asked. ?I?m going to leave it up to Mike. I?ll let Mike answer that.?

Returning starters

The Packers will kick the tires on two injured starters in preparation for the playoffs. Defensive tackle Ryan Pickett, who has been sorely missed the last few weeks, is expected to return from a concussion. ?Tackle Chad Clifton will play for the first time since hurting his hamstring in Week 5.

Coaches will watch Clifton closely. He?s essentially auditioning to start in the postseason.

Add it all up, and the Lions have a great chance to win in Lambeau and earn the No. 5 seed in the NFC playoffs.
